Terms of Service

Welcome to Teniq. These Terms of Service (“Terms”) govern your use of the Teniq website, applications, emails, and related services (together, the “Service”), operated by Teniq LLC, Wyoming (“Teniq,” “we,” “us”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1 · What Teniq is — and is not

What Teniq is — and is not

Teniq is a research publication and software tool. It reads companies’ public filings with the U.S. Securities and Exchange Commission (“SEC”), states arguments those filings support, and checks those arguments against subsequent filings, with citations to the underlying documents.

Teniq is not an investment adviser, broker-dealer, or fiduciary. The Service provides impersonal, general-circulation analysis of public documents. It does not provide individualized investment advice, does not consider your personal financial situation, and does not make buy, sell, or hold recommendations. Nothing in the Service is a recommendation or an offer or solicitation to buy or sell any security. Content is identical for every user viewing the same company at the same time; “watching” a company personalizes delivery, not analysis.

You are solely responsible for your investment decisions. Consult a qualified financial adviser before making investment decisions. Investing involves risk, including possible loss of principal.

2 · Accuracy, timeliness, and the limits of the Service

Accuracy, timeliness, and the limits of the Service

Teniq applies automated verification designed to tie stated figures and quotations to the filings they come from, and where a claim cannot be confirmed the Service is designed to stay silent rather than guess. These are design goals, not guarantees. The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, and non-infringement.

In particular, you understand and agree that:

  • Teniq reads SEC filings, which are published after companies disclose information through other channels (earnings calls, press releases). The Service does not provide early warning and makes no claim of timeliness relative to markets.
  • Analysis is generated with the assistance of automated systems, including large language models, and may contain errors or omissions despite verification measures.
  • Each company’s displayed state reflects the most recent filing Teniq has read for that company, as dated on the page; it may not reflect the company’s latest filing or current condition.
  • Coverage is limited to the companies and filings Teniq has processed; absence of a finding is not a statement that nothing has changed.
3 · Accounts

Accounts

Accounts are created and accessed by email verification (magic link). You are responsible for maintaining control of the email address associated with your account and for activity occurring under your account. You must be at least 18 years old to use the Service. We may suspend or terminate accounts that violate these Terms.

4 · Free tier, membership, and metered features

Free tier, membership, and metered features

  • Free: reading company pages, browsing the index, a limited number of argument-similarity searches per day (the “Hunt,” limits subject to change), and one company under watch.
  • Membership: a paid annual subscription (US$240/year founding) providing unlimited companies under watch, unlimited Hunt searches, and member deliverables (including the seasonal Report and per-filing letters).
  • Founding-cohort pricing, if offered, applies for as long as the founding membership remains continuously active, or as otherwise stated at purchase.
5 · Billing, cancellation, and refunds

Billing, cancellation, and refunds

  • Membership is billed annually in advance through our payment processor (Stripe). We do not store your full payment card details.
  • Refunds: you may cancel within 30 days of first purchase for a full refund. After 30 days, fees are non-refundable and cancellation takes effect at the end of the current billing period. We may, at our discretion, issue refunds outside this policy.
  • On cancellation or lapse: your account reverts to the free tier. You choose one company to remain under active watch; monitoring records for your other companies are frozen as of the lapse date and remain viewable in your account. Frozen records are labeled as no longer updating. Re-subscribing resumes monitoring, with the gap reflected in the record. This paragraph describes current product behavior, which we may change prospectively with notice.
6 · Acceptable use

You agree not to: (a) scrape, bulk-download, or systematically extract Service content by automated means; (b) resell, redistribute, or republish substantial portions of the Service, or provide the Service (including member letters or the Hunt) to third parties as a service; (c) circumvent metering, access controls, or payment; (d) use the Service to violate law or the rights of others; (e) misrepresent Teniq content, including altering shared cards or presenting Teniq analysis as a recommendation; (f) probe, disrupt, or overload the Service. We may rate-limit, suspend, or terminate access for violations.

7 · Intellectual property and sharing

Intellectual property and sharing

SEC filings quoted in the Service are public records. Teniq’s arguments, findings, records, design, software, and compilations are the property of Teniq or its licensors and are protected by law.

We grant you a limited, revocable, non-exclusive license to use the Service for personal, non-commercial research. Share cards and public company pages are intended to be shared: you may share them in unmodified form, with attribution preserved (the Teniq mark and link), for non-commercial purposes. Commercial licensing (including firm or data use) requires a separate agreement — contact support@teniq.co.

8 · Member letters and communications

Member letters and communications

Membership includes emails that are part of the Service (per-filing letters, the Report, account notices). You may also receive product updates, which you can opt out of; Service and transactional emails cannot be opted out of while your account is active.

9 · Third-party content and links

Third-party content and links

The Service links to third-party sites (including sec.gov). We are not responsible for third-party content or services.

10 · Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TENIQ DISCLAIMS ALL WARRANTIES AS DESCRIBED IN SECTION 2; (b) TENIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING OR INVESTMENT LOSSES, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (c) TENIQ’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO TENIQ IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR US$100 IF YOU HAVE PAID NOTHING. Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted.

11 · Indemnity

You will indemnify and hold Teniq harmless from claims arising out of your violation of these Terms or misuse of the Service.

12 · Changes to the Service and these Terms

Changes to the Service and these Terms

We may modify the Service and these Terms. Material changes will be notified (by email or in-Service notice) with the new effective date; continued use after the effective date constitutes acceptance. The version history of these Terms will be available on request.

13 · Termination

Termination

You may stop using the Service at any time and may request account deletion (see the Privacy Policy). We may suspend or terminate the Service or your access for violation of these Terms, for legal reasons, or upon discontinuation of the Service, with a pro-rata refund of prepaid fees in the case of discontinuation.

14 · Governing law and disputes

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you and Teniq consent to the personal jurisdiction of those courts.

15 · Miscellaneous

Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Teniq regarding the Service. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
